Terms and conditions of use

Introduction

These terms and conditions apply between you, the User of this Website (including any sub-domains, unless expressly excluded by their own terms and conditions), and Rakesh Tailor trading as Fresh Canvas, the owner and operator of this Website. Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately.

In these terms and conditions, User or Users means any third party that accesses the Website and is not either (i) employed by Rakesh Tailor trading as Fresh Canvas and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Rakesh Tailor trading as Fresh Canvas and accessing the Website in connection with the provision of such services.

You must be at least 18 years of age to use this Website. By using the Website and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.

Fresh Canvas Payment Terms

1. General Payment Terms
Invoice Payment: All invoices are issued electronically and are payable via the BACS payments system within 7 days from the invoice date.
Currency: All proposals are quoted in GBP (£), and payments must be made at the equivalent conversion rate on the date the transfer is made.
International Transfers: The client agrees to pay all charges associated with international transfers of funds.

2. Payment Terms for New Clients
– Invoices under £5,000: Payment must be made upfront for all invoices under £5,000.
– Invoices over £5,000: For invoices over £5,000, payment can be split into two parts: a 50% deposit and the remaining balance upon completion of the project.

 3. Subscription Services
Payment Method: Subscription payments are collected via GoCardless on a monthly or annual basis, as stipulated in the agreement.
Failed Payments: If a subscription fee payment fails, we will notify you immediately. Failure to pay within 7 days of notification will result in suspension of your services, and we will recover missed payments via a separate invoice if required.

4. Bank Account Details
The appropriate bank account details are printed on this invoice and displayed digitally when you click the “Pay Now” button.

5. Late Payments
Interest and Charges: We reserve the right to charge interest on overdue amounts at the rate in force pursuant to the Late Payment of Commercial Debts (Interest) Act 1998 as at the due date. We may also charge for costs and expenses incurred in recovering late payments, including reasonable legal fees.
Service Suspension: Late accounts may cause project work to be discontinued until the account is brought current. Continued non-payment may result in termination of the contract.

6. Additional Work
Client-Requested Work: Any additional work requested by the client outside the scope of your proposal will be invoiced separately on a time-and-materials basis at standard rates.

7. Governing Law
– These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

8. Acceptance of Terms
By engaging with Fresh Canvas and making any payment, the client agrees to these payment terms.

Intellectual property and acceptable use
